What are the biggest challenges of a carve-out compared with a traditional M&A deal?
Carve-outs are significantly more complex than traditional M&A deals because they involve not only acquiring or selling a company or business unit, but first creating a standalone entity that can operate independently from both an operational and financial perspective. The greatest challenge lies in separating the business from existing group structures, particularly across finance, IT, operational processes and HR. Initially, the necessary level of financial transparency is often lacking, as costs, cash flows and earnings contributions cannot always be clearly allocated. At the same time, operational dependencies need to be addressed through Transitional Service Agreements (TSAs), while legal matters and potential liability risks need to be properly mitigated. It is therefore essential to establish a robust information and planning basis at an early stage in order to manage risks and lay the foundation for a stable Day 1 and successful standalone operations.
